Agreement Overview and Ownership Structure

Wholesale Websites is a separate operating business that functions as a subsidiary brand under Social Reach, which is responsible for managing its day-to-day operations, service delivery, and client communications. While Wholesale Websites operates independently in service offering and branding, it is legally owned and overseen by Social Reach.

Social Reach is a trading entity of Australian Directory Services Pty Ltd, an Australian registered company that provides corporate governance, strategic oversight, and operational support to its group of businesses.

This layered structure ensures Wholesale Websites operates with professional independence while leveraging the experience, infrastructure, and regulatory compliance standards upheld by its parent organisations.

By engaging with Wholesale Websites, you acknowledge and accept these terms. This agreement becomes effective upon submission of your service order.

1. Service Overview

1.1 Scope of Services

WholesaleWebsites.com.au provides website design, development, and associated digital services as detailed on our website. All services are delivered in accordance with the specifications outlined in your selected plan.

1.2 Third-Party Platforms

We are not liable for disruptions caused by third-party platforms (e.g., social media platforms, hosting services). Clients are responsible for maintaining access credentials and notifying us promptly of any changes.

2. Client Responsibilities

2.1 Timely Approvals

Clients must approve or provide feedback on deliverables within two (2) business days of receipt. Failure to do so may result in delays for which we are not responsible.

2.2 Provision of Materials

Clients are required to provide all necessary content, images, and information in a timely manner. Delays in providing these materials may affect project timelines.

3. Payment Terms

3.1 Billing Cycle

Services are billed monthly in advance. Payments are due on the billing date specified in your plan. Non-payment may result in suspension of services until the account is brought current.

3.2 Refund Policy

We offer a 30-day money-back guarantee from the date of initial sign-up. Refunds are not available after this period. Work completed during this period remains the intellectual property of WholesaleWebsites.com.au and is non-transferable.

3.3 Cancellation

Clients may cancel their subscription at any time by submitting a cancellation request via the designated form on our website (footer). Cancellations take effect 30 days from the start of the next billing cycle, not the date the request is submitted. This means one final full monthly payment will be required after the cancellation request is received. Services will continue until the end of that 30-day period.

No pro-rata refunds are provided for unused time, partial months, or mid-cycle cancellations. Clients are responsible for ensuring cancellation requests are submitted at least 30 days prior to their next billing date if they wish to avoid further charges.

4. Content Management

4.1 Revisions

Each project includes two (2) rounds of revisions. Additional revisions may incur extra charges. Major changes or redesigns are considered new projects and will be quoted separately.

4.2 Content Accuracy

Clients are responsible for the accuracy and legality of all content provided. We are not liable for any issues arising from client-supplied content.

5. Support and Communication

5.1 Support Channels

5.2 Response Time

We aim to respond to all support enquiries within two (2) business days. Response times may vary during peak periods.

6. Intellectual Property

Upon full payment, clients are granted a non-exclusive, non-transferable license to use the final deliverables. WholesaleWebsites.com.au retains ownership of all source files and proprietary code.

6.2 Portfolio Use

We reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

7. Liability and Disclaimers

7.1 Limitation of Liability

To the extent permitted by law, WholesaleWebsites.com.au is not liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by the client in the preceding month.

7.2 Force Majeure

We are not responsible for delays or failures in performance resulting from events beyond our reasonable control, including but not limited to acts of God, technical failures, or third-party service disruptions.

8. Dispute Resolution

8.1 Governing Law

These Terms and Conditions are governed by the laws of the State of Victoria, Australia, and comply with the applicable provisions of the Australian Consumer Law (ACL) and the Australian Securities and Investments Commission (ASIC) regulations. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Victoria.

8.2 Dispute Process

In the event of a dispute, both parties agree to attempt resolution through good faith negotiations. If unresolved, disputes shall be submitted to mediation before pursuing legal action.

We may update these Terms and Conditions from time to time. Clients will be notified of significant changes via email or through our website. Continued use of our services constitutes acceptance of the revised terms.
